OPEN ONLY TO NOMINATORS AND NOMINEES WHO ARE LEGAL RESIDENTS OF THE 50 UNITED STATES AND DISTRICT OF COLUMBIA WHO ARE AT LEAST 18 YEARS OLD AS OF THE DATE OF ENTRY.

By entering this Promotion, entrants accept and agree to be bound by these Official Rules. Any violation of these rules may result in disqualification. All decisions of the judges regarding this Promotion are final and binding in all respects.

1. PROMOTION PERIOD. Promotion begins 10:00 AM ET on May 17, 2011 and ends 4:00 PM ET on July 6, 2011, when all entries must be received (“Promotion Period”).

2. ELIGIBILITY. This contest (the "Promotion") is only open to nominators and nominees who are legal residents of the 50 United States and the District of Columbia who are at least 18 years old as of the date of entry, except officers, directors, members, and employees of the Sponsor, the judging organization (if applicable), or any other party associated with the development or administration of this Promotion, and the immediate family (i.e., parents, children, siblings, spouse), and persons residing in the same household, as such individuals. This Promotion is void outside the 50 United States/DC and where otherwise prohibited.

3. HOW TO ENTER. Visit www.thegentlemensfund.com during the Promotion Period and follow the instructions to complete and submit the entry including providing all required contact information for you and your nominee (the “Submission”). Submissions MUST be submitted online. Mail-in Submissions will not be accepted. You must submit either (a) a 3 minute or less video nominating a friend, a family member, a community activist, or yourself – someone who is working to make this a better world through charitable work, volunteerism, or community involvement- or (b) a written entry (no longer than 500 words) via the web form on thegentlemensfund.com nominating a friend, a family member, a community activist, or yourself – someone who is working to make this a better world through charitable work, volunteerism, or community involvement. All video or written Submissions must include a 20 word synopsis of the nominee’s efforts and a photo of the nominee. The nominator represents he or she is the photographer/videographer of any photo or video submitted or that he or she has permission to use such photo or video as described herein from the person who took it. Videos must be uploaded in either an avi, flv, wmv, asf, mov, mp4, m4v, mpg and the video size cannot exceed 150 MB. Entries must be submitted in English only and nominations must only be submitted in the name of a single person; group nominations are not acceptable. Entrants represent and warrant that their Submission, including all materials, is the original work of such entrant (except the photo/video), it has not been copied from others, and it does not violate the rights of any other person or entity. Entrant further represents and warrants that their Submission adheres to the fundamental spirit of the Promotion and overall mission of The Gentlemen’s Fund initiative and does not contain any defamatory, obscene or otherwise unlawful matter or depict anyone engaged in any illegal, immoral or lewd act, any violent or pornographic material or any other inappropriate content and will not reflect adversely on GQ, Conde Nast, or any participating advertiser or Gentlemen’s Fund charity participant, all as determined by Sponsor in its sole discretion. False or deceptive nominations or acts may render a nominee ineligible. Nominators and nominees may be contacted to provide additional information and/or have their information verified. Nominators and nominees must agree to background checks if elected by Sponsor. GQ reserves the right to request and require additional information from nominators and/or nominees in order to have their nomination considered. GQ reserves the right to edit all Submissions including but not limited to videos, written nominations, nominee photographs, and written nomination summary. By entering a Submission you grant Sponsor the right without obligation, unless prohibited by law, to use the contents of such Submission, your name, voice, picture and likeness, without compensation, for the purpose of advertising and publicizing all matters related to the Promotion and/or the Sponsor in any medium, throughout the world in perpetuity. You also represent you have permission from your nominee to allow the use of his name, voice, pictures and likeness, without compensation, for such purposes. If you think that any entry infringes your intellectual property rights, click here if you wish to report it. Any Submission that does not fully comply with this paragraph, as determined by GQ representatives or the Judges (in their sole discretion) may be disqualified. Notwithstanding any other provision in these rules, disqualification may occur at any point in the process when lack of compliance with this paragraph is determined, even after winner(s) is chosen (at which time an alternate winner may be selected). All entrant information, including e-mail addresses, is subject to the respective Privacy Policy of the applicable Sponsor.

4. WINNER SELECTION AND NOTIFICATION. Upon receipt, some qualifying entries may be posted on www.thegentlemensfund.com for public viewing by visitors of the website. Some qualifying entries may also appear on www.GQ.com and/or other websites for public viewing by visitors of the websites. Not all entries may be posted online, but all qualifying entries will be considered during the judging period. No public voting will take place during this phase of the Promotion. All entries will be judged on or about July 7, 2011 (the “Judging Phase”) by a panel of judges comprised of three GQ employees (Kim Tan – Executive Director of Promotion & Merchandising Services; John W. Nigro – GQ Integrated Marketing Manager; Edwin Bragg – GQ Marketing Director) who oversee the 2011 The Gentlemen’s Fund initiative and one guest judge, selected by GQ. The judges will score entries based on the following criteria: Involvement with a cause (30 points max) defined as active and personal participation in a cause associated with the betterment of society; Impact (30 points max) defined as the nominee’s direct and measurable effect on the initiative; and Dedication (20 points max) defined as the nominee’s devotion and commitment to their cause. The five (5) entries with highest overall scores from the Judging Phase will be declared potential finalists (in the event of a tie, the entry with the higher score in the “Dedication” criteria will prevail). Additionally, the judges will select two (2) alternates (the “Alternates”) from all nominations. Being chosen as an Alternate does not mean nominee will be a potential finalist. All five (5) finalist entries will be posted online at www.thegentlemensfund.com starting 10:00:01 AM ET August 4, 2011 and users will be asked to vote once for the finalist they believe should be the recipient of the grand prize (the “Voting Phase”). ONE VOTE PER PERSON AND ONE VOTE PER EMAIL ADDRESS. Multiple votes or other deceptive acts may, at Sponsor’s discretion, result in either loss of the suspect votes or disqualification. The finalist with the highest number of valid votes received by 4:00:00 PM ET September 21, 2011 will be declared the potential winner of the online vote. GQ may not publically reveal the Grand Prize Winner, until said person is announced at The Gentlemen’s Ball event (New York City) in late October 2011. A total of twenty (20) points will be at stake during the Voting Phase and each Finalist will receive points in proportion to the number of votes received. For example, if the winner of the online vote received 50% of the votes, he will receive ten (10) points; if another finalist receives 20% of the votes, he will receive four (4) points; and if the remaining finalists each receive 10% of the votes, they will each receive two (2) points. On or about September 22, 2011, the points from the Judging Phase will be added to the points from the Voting Phase and the finalist with the highest confirmed score will be declared the potential Grand Prize Winner. The decisions of the Judges will be final and binding. Whether a nominator is identified and which nominator is identified, if there are multiple nominations for one individual, is in the sole discretion of Sponsor. The potential Winner and remaining Finalists will be notified by mail, email and/or telephone on or around October 6, 2011; travel arrangements for attending the Gentlemen’s Ball event in New York City will be made at this time. If a finalist or winner cannot be contacted, does not respond within two (2) days from the date the Sponsor first tries to notify him/her, and/or the prize or prize notification is returned as undeliverable, such potential finalist or winner forfeits all rights to win the Promotion or receive the prize, and an alternate potential finalist or winner may be selected. Upon contacting a potential finalist or winner and determining that he/she has met all eligibility requirements of the Promotion, including without limitation the execution of required waivers, publicity and liability releases and disclaimers, such individual will be declared the “winner” of the Promotion. All finalists and/or their nominators may, at Sponsor’s discretion, appear in a GQ special advertising section. If Sponsor elects to create such a special advertising section, a one-day photo shoot will take place in August/September 2011 at a location to be determined by Sponsor. Travel, hotels, and a reasonable per diem for other expenses for selected finalists and/or their nominators (only) would be covered by Sponsor. Selected finalists and nominators unable to attend the photo shoot will be disqualified from the competition and an alternate finalist will be chosen.

All finalists and/or their nominators may, at Sponsor’s discretion, appear in a GQ special advertising section. If Sponsor elects to create such a special advertising section, a one-day photo shoot will take place in August 2010 at a location to be determined by Sponsor.  Travel, hotels, and a reasonable per diem for other expenses for selected finalists and/or their nominators (only) would be covered by Sponsor. Selected finalists and nominators unable to attend the photo shoot will be disqualified from the competition and an alternate finalist will be chosen.

5. PRIZE DESCRIPTION. There will be up to six (6) winners (one (1) Grand Prize for the winning entry, four (4) Finalist Prizes, and one (1) Nominator Prize for the person who submits the winning entry).

Nominee Grand Prize: a $10,000 donation (provided by Movado®) to the 501C3 accredited charity of the Winner’s choice (subject to Sponsor’s approval), $2,000 cash for the winner to spend as he/she wishes, two (2) coach airfare tickets from the major commercial airport nearest Winner's primary residence in the US to New York City, one (1) standard hotel room (double occupancy) for two (2) nights at a hotel selected by Sponsor, admission for Nominee Grand Prize Winner and guest to attend The 2011 Gentlemen’s Ball in New York on October 26, 2011 and honored as the Winner of the 2011 Better Men Better World Search contest at The 2011 Gentlemen’s Ball in New York City, featured within a promotional listing in an upcoming issue of GQ, and a Movado SE® Extreme fine Swiss automatic stainless steel/black carbon fiber watch (provided by Movado®) (ARV $1,995). The approximate retail value of the Grand Prize package is $5,945.

Four (4) Finalist Nominee Prizes: A $2,500 donation (provided by Movado®) to the 501C3 accredited charity of the finalist’s choice (subject to Sponsor’s approval), Two (2) coach airfare tickets from the major commercial airport nearest Winner's primary residence in the US to New York City, one (1) standard hotel room (double occupancy) for two (2) nights at a hotel selected by Sponsor, admission for Finalist Prize Winner and guest to attend The 2011 Gentlemen’s Ball in New York on October 26, 2011, Movado BOLD™ large Swiss quartz chronograph watch, (provided by Movado®) (ARV $650) and, at Sponsor’s discretion, Finalist may be featured within a promotional listing in an upcoming issue of GQ. The approximate retail value of the Finalist prize is $2,600 each, depending on exact itinerary.

Winning Nominator Prize: a gift certificate for an Apple® iPad (Wi-Fi 16GB) (ARV $499). Gift certificate may be subject to certain restrictions including expiration date.

Actual value of grand prize and finalist prize may vary based on fluctuations in price for airfare and/or accommodations, and distance between departure and destination. Ground transportation, meals, in-room or other personal charges at lodging (e.g., mini-bar, movies), telephone calls, gratuities, incidentals, and all other expenses are not included. The Grand Prize winner must be available to travel to coincide with the event (October 25, 2011 through October 27, 2011; otherwise Grand Prize winner forfeits the prize and an alternate Grand Prize winner and nominator prize winner may be chosen. In the event that a Finalist Prize Winner, who is not also the Grand Prize Winner, is unable to travel to coincide with the event an alternate Finalist Prize winner will NOT be chosen. The Finalist Prize Winners and their travel companions must be available to travel on the same itinerary. Sponsor will attempt to accommodate winners’ preferred itinerary, but all specifics thereof will be at Sponsor's sole discretion. If, in the sole judgment of Sponsor, air travel is not required due to a winner’s proximity to prize location, ground transportation may be substituted for roundtrip air travel. Travel companions must be 18 years of age or older as of the date of departure.

If the Grand Prize winner and Nominator Prize Winner are the same person, meaning that the Grand Prize winner nominates themselves by submitting the winning entry, the Grand Prize Winner would also receive the Nominator Prize.

6. TAXES. All federal, state and/or local income and other taxes, if any, are the winner’s sole responsibility.

7. OWNERSHIP AND LICENSE. All entry materials become the property of the Sponsor and will not be acknowledged or returned. The copyright in any Submission shall remain the property of the entrant, but entry into this Promotion constitutes entrant’s irrevocable and perpetual permission and consent, without further compensation or attribution, to use, reproduce, print, publish, transmit, distribute, sell, perform, adapt, enhance, or display such Submission for any purpose, including but not limited to editorial, advertising, trade, commercial, and publicity purposes by the Sponsor and/or others authorized by the Sponsor, for the purpose of advertising and publicizing the services of advertising sponsors, in any and all media now in existence or hereinafter created, throughout the world, for the duration or the copyright in the Submission. Sponsor and/or others authorized by the Sponsor shall have the right to edit, adapt, and modify the Submission. All submissions may, at Sponsors discretion, be posted online on www.thegentlemensfund.com, www.GQ.com and other Internet websites as entry constitutes consent to Sponsor posting entries on the Internet.

8. NO PRIZE TRANSFER OR SUBSTITUTION. No prize or any portion thereof is transferable or redeemable for cash. Any portion of the prize that is not used is forfeited. No substitutions for prize except by Sponsor, in which case a prize of equal or greater value will be substituted.

9. CONSENT AND RELEASE. By entering the Promotion, each entrant releases and discharges the Sponsor, judging organization (if applicable), and any other party associated with the development or administration of this Promotion, their parent, subsidiary, and affiliated entities, and each of their respective officers, directors, members, shareholders, employees, independent contractors, agents, representatives, successors and assigns (collectively, “Sponsor Entities”), from any and all liability whatsoever in connection with this Promotion, including without limitation legal claims, costs, injuries, losses or damages, demands or actions of any kind (including without limitation personal injuries, death, damage to, loss or destruction or property, rights of publicity or privacy, defamation, or portrayal in a false light) (collectively, “Claims”). Except where prohibited: (i) acceptance of a prize constitutes the consent of any winner, without further compensation, to use the name and likeness of such winner and his/her Submission for editorial, advertising and publicity purposes by the Sponsor and/or others authorized by the Sponsor; (ii) acceptance of a prize constitutes a release by any winner of the Sponsor Entities of any and all Claims in connection with the administration of this Promotion and the use, misuse, or possession of his/her Submission or any prize; (iii) any potential winner may be required to sign an affidavit of eligibility (including social security number) and a liability/publicity/copyright release; and (iv) if prize involves travel or activities, any potential winner and travel companion (if applicable) may be required to execute releases of the Sponsor from any and all liability with respect to participation in such travel/activities and/or use of the prize. Affidavits and releases must be returned within two (2) days from the date that Sponsor first tries to notify the potential winner.

10. DISCLAIMERS. (i) Sponsor not responsible for entries/votes that are lost, late, misdirected, incorrect, garbled, or incompletely received, for any reason, including by reason of hardware, software, browser, or network failure, malfunction, congestion, or incompatibility at Sponsor’s servers or elsewhere. In the event of a dispute, entries/votes will be deemed submitted by the authorized account holder of the e-mail address submitted at the time of entry/vote. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet Access Provider, online service provider, or other organization (e.g., business, educational institute) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. (ii) Sponsor, in its sole discretion, reserves the right to disqualify any person tampering with the entry/voting process or the operation of the web site or otherwise attempting to undermine the legitimate operation of the Promotion. Use of bots or other automated process to enter/vote is prohibited and may result in disqualification at the sole discretion of Sponsor. (iii) Sponsor further reserves the right to cancel, terminate or modify the Promotion if it is not capable of completion as planned, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, force majeure or technical failures of any sort. (iv) Sponsor Entities are not responsible for errors in the administration or fulfillment of this Promotion, including without limitation mechanical, human, printing, distribution or production errors, and may cancel, terminate or modify this Promotion based upon such error at its sole discretion without liability. In no event will Sponsor be responsible for awarding more than the number of prizes specified in these rules. (v) In the event this Promotion is cancelled or terminated, pursuant to subparagraph (iii) or (iv), Sponsor, in its sole discretion, may elect to select a winner from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. (vi) SPONSOR ENTITIES MAKE NO WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, AS REGARDS THIS PROMOTION OR THE MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY PRIZE OR ANY COMPONENT OF ANY PRIZE. (vii) CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING WITHOUT LIMITATION ATTORNEYS’ FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. (viii) The value(s) of the prize(s) set forth above represent Sponsor’s good faith determination of the approximate retail value(s) thereof; the actual fair market value(s) as ultimately determined by Sponsor are final and binding and cannot be challenged or appealed. In the event the stated approximate retail value(s) of a prize is more than the actual fair market value of that prize, the difference will not be awarded in cash or otherwise. No substitution or compensation will be given for any portion of the prize that is not used.

11. APPLICABLE LAWS AND JURISDICTION. This Promotion is subject to all applicable federal, state, and local laws and regulations. Issues concerning the construction, validity, interpretation and enforceability of these Official Rules shall be governed by the laws of the State of New York, without regard to any principles of conflict of laws. All disputes arising out of or connected with this Promotion will be resolved individually, and without resort to class action, exclusively by a state or federal court located in New York, New York. Should there be a conflict between the laws of the State of New York and any other laws, the conflict will be resolved in favor of the laws of the State of New York. To the extent permitted by applicable law, all judgments or awards shall be limited to actual out-of-pocket damages (excluding attorneys’ fees) associated with participation in this Promotion and shall not include any indirect, punitive, incidental and/or consequential damages.
